1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between JEFF’SEO LLC (“Provider,” “we,” “us,” or “our”) and the client (“Client,” “you,” or “your”) regarding the provision of white label services.
2. Definitions
- “Services” refers to: Web Design and Development, Website Redesign, Search Engine Optimization, Website Migration from Wix, Weebly, or Squarespace to WordPress.
- “End Users” refers to the Client’s customers who use the white-labeled Services
- “White Label Rights” refers to the right to rebrand and resell the Services
3. License and White Label Rights
3.1 Grant of License
- Provider grants Client a non-exclusive, non-transferable license to resell the Services
- Client may rebrand the Services under their own brand name
- Client may not modify the core functionality of the Services
3.2 Restrictions
- Client shall not reverse engineer the Services
- Client shall not sell or transfer the white label rights to third parties
- Client shall not represent themselves as the original developer of the Services
4. Service Level Agreement
4.1 Service Availability
- Provider guarantees 100% uptime
- Scheduled maintenance will be communicated 3 business days in advance
- Emergency maintenance may be performed as needed
4.2 Support Services
- Provider will offer technical support to Client via phone call/email, during 9 am to 5 pm MST, Monday through Friday, holidays excluded.
- Response time for critical issues: 8 hours
- Response time for non-critical issues: 2 business days
5. Client Responsibilities
5.1 General Obligations
- Maintain accurate account and billing information
- Provide first-line support to End Users
- Comply with all applicable laws and regulations
5.2 Payment Terms
- Payment due within 2 days of invoice
- Late payments subject to 5% interest each additional day
6. Intellectual Property Right/s
6.1 Ownership
- Provider retains all intellectual property rights to the Services
- Client owns rights to their branding and customizations
- End User data belongs to the respective End Users
6.2 Usage Rights
- Client may use Provider’s APIs and documentation
- Client may create marketing materials for the rebranded Services
7. Data Protection and Privacy
7.1 Data Processing
- Provider will process data in accordance with applicable privacy laws
- Client is responsible for obtaining necessary End User consents
8. Liability and Indemnification
8.1 Limitation of Liability
- Provider not liable for indirect or consequential damages
- Force majeure clause
8.2 Indemnification
- Client shall indemnify Provider against End User claims
- Provider shall indemnify Client against IP infringement claims
9. Term and Termination
9.1 Duration
- Initial term of 3 months
- Automatic renewal for 3 months
9.2 Termination
- Either party may terminate with 7 days notice
- Immediate termination for material breach
- Post-termination data handling and transition support
10. Confidentiality
- Both parties shall maintain confidentiality of business information
- Confidentiality obligations survive termination
- Exceptions for legally required disclosures
11. Governing Law and Jurisdiction
- These Terms are governed by the laws of the United States
- Disputes shall be resolved in arbitration
- Prevailing party entitled to reasonable attorney fees
12. Amendments
- Provider may modify these Terms with 2 days notice
- Material changes require Client consent
